1. These terms

These terms govern use of the HYVOI mobile applications and service. By using HYVOI you agree to them.

HYVOI is provided to organisations, not to individuals directly. If you are using HYVOI because your employer gave you an account, your employer has agreed to these terms and to a separate written agreement with us, and that agreement takes precedence where the two differ.

2. What HYVOI is

HYVOI is a workforce presence and feedback platform providing operational presence records for identified members of an organisation, anonymous on-site feedback collected from a screen by a door, and aggregated results and trends for managers.

HYVOI reports change at group level. It is not a diagnostic tool, a clinical tool, or an individual assessment tool, and must not be used as one.

3. Accounts

Accounts are issued by an organisation administrator. You cannot sign yourself up as a manager.
You are responsible for keeping your password confidential and for activity under your account.
Tell your administrator promptly if you believe your account has been compromised.
Administrators are responsible for revoking access when someone leaves.

4. Acceptable use

You must not:

Use HYVOI to identify, single out, or attempt to re-identify an individual from anonymous feedback
Ask questions designed to expose an individual, or that solicit information about a named person
Use HYVOI to perform disciplinary or performance management of individuals
Attempt to circumvent the protections that withhold results based on too few responses
Interfere with, probe, or attempt to gain unauthorised access to the service
Use the service unlawfully, or in breach of employment or data protection law

We take the first two seriously. HYVOI's value to the people who use it rests on its promise that a tap is not attributable. Deliberately working around that is a material breach of these terms.

5. Questions asked through HYVOI

Your organisation writes the questions that appear on its screens and is responsible for their content, lawfulness and appropriateness. Questions must not solicit special category personal data in a way that could identify an individual, be designed to expose or pressure a person or a small group, or be misleading about what HYVOI does with the answers. We may require the removal of a question that breaches these terms.

6. Devices

Screens paired to a site are the responsibility of the organisation that paired them. You must site them where they can be used without a person being observed choosing an answer, as far as reasonably possible; unlink devices promptly when lost, replaced or retired; and not repurpose a paired device while it is still enrolled.

7. Data protection

Your organisation is the data controller and we are the data processor. Our respective obligations are set out in the data processing terms in your organisation's agreement with us, and in the HYVOI privacy policy.

8. Availability

We aim to keep HYVOI available but do not guarantee uninterrupted service. We may suspend it for maintenance, giving reasonable notice where we can. HYVOI depends on third-party infrastructure; interruption to those services may interrupt HYVOI.

9. Intellectual property

HYVOI, its design system, branding and software are owned by Wellmate Group Ltd. You are granted a non-exclusive, non-transferable right to use the service for the term of your organisation's agreement, and nothing more. Data your organisation puts into HYVOI remains your organisation's.

10. Fees

Fees, billing and payment terms are set out in your organisation's agreement with us. Where HYVOI is provided free of charge during a pilot, we may end the pilot on reasonable notice.

11. Liability

We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.
Subject to that, our total liability is limited as set out in your organisation's agreement.
We are not liable for decisions your organisation makes on the basis of HYVOI's aggregated results. HYVOI reports what people tapped; interpreting it is your organisation's judgement.

12. Termination

Your organisation may end its use in accordance with its agreement. We may suspend or end access for a material breach of these terms, including a breach of section 4. On termination we will delete or return your organisation's data in accordance with that agreement.

13. Changes

We may update these terms. Where a change is material we will give your organisation reasonable notice. Continued use after a change takes effect is acceptance of it.

14. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
